Retail First

1. Scope 

(1) Use of the websites and services offered by fairnamic GmbH in connection with the Retail First benefits program at Eurobike is subject to the following membership terms and conditions. By completing the registration process, the member accepts these terms and conditions of use.

(2) Only specialist retailers are eligible for free membership in the Retail First benefits program at Eurobike:

• Specialist retailers from the bicycle, sports, LEV, and micromobility industries. Related sports, such as outdoor sports, fitness, and trend sports, are included, as well as the sports fashion sector.
• Retailers (brick-and-mortar shops, department stores, chain stores, online and mail order retailers) with a clear connection to the industry.
• Wholesalers and foreign traders (purchasing groups, importers, exporters, and distributors) with a clear connection to the industry.

(3) Membership in the Retail First benefits program at Eurobike is free of charge. There is no entitlement to admission to the benefits program.

2. Registration

(1) Membership in the Retail First benefits program at Eurobike requires prior online registration. During online registration, personal data (including company name, name, address, email address, telephone number) will be collected in compliance with statutory data protection regulations.

(2) The member undertakes to provide complete and truthful information about the company and the person required for membership. Please notify fairnamic GmbH immediately of any subsequent changes at datenschutz@fairnamic.com.

(3) fairnamic GmbH reserves the right to reject membership applications. The number of members is limited. 

(4) After registration, fairnamic GmbH will verify that the above target group definition applies. The interested party will then receive an email confirming or rejecting their membership in the Retail First benefits program at Eurobike if they do not belong to the above group of trade visitors or if the quota has been exhausted.

(5) fairnamic GmbH will check compliance with the required target group definition at regular intervals.

3. Benefits

(1) The benefits of the Retail First loyalty program are listed on the Eurobike website. 

(2) The benefits are only available to the member personally. Transfer to third parties of any kind is expressly prohibited. There is no entitlement to payment or other reimbursement. Furthermore, there is no entitlement to the availability of benefits at an event organized by fairnamic GmbH. fairnamic GmbH is entitled to restrict the benefits of the Retail First benefits program at Eurobike at any time or to discontinue them in whole or in part.

4. Termination of membership

(1) Membership is valid for an indefinite period. fairnamic GmbH may terminate membership at any time by giving 14 days' written notice. 

(2) fairnamic GmbH may terminate membership at any time without notice for good cause, in particular if

a) the membership criteria are not or no longer met,

b) the member has provided false information during registration,

c) the member has violated these terms and conditions,

d) the continuation of the membership relationship is unreasonable for fairnamic GmbH.

(3) The member may terminate their membership at any time with immediate effect by email. fairnamic GmbH is entitled to use the membership data until completion, if necessary.

(4) Membership shall expire if the member has not attended the same event three times in a row and has not taken advantage of the Retail First benefits program at Eurobike. The member may re-register at any time. fairnamic GmbH will then re-check whether the above target group definition applies.

5. Member obligations, prohibition of sales and advertising 

(1) As soon as a member becomes aware that third parties are misusing member data, the member is obliged to inform fairnamic GmbH immediately.

(2) Without the express permission of fairnamic GmbH, advertising of any kind outside exhibition stands, offering goods and services of any kind, accepting orders, and conducting opinion polls are not permitted. fairnamic GmbH reserves the right to terminate membership in accordance with Section 4 (2) in the event of violations or other disruptive behavior and to expel the member from the premises and buildings by means of a temporary or permanent ban from the premises and grounds. Further legal claims remain unaffected.

6. Image and sound recordings

(1) The member agrees that fairnamic GmbH or third parties commissioned by it may make image and sound recordings at Eurobike as part of the Retail First benefits program.

(2) The member also agrees that these recordings may be edited, reproduced, published, and used without restriction in terms of time, space, and content in all current and future media, in particular on event websites, in social media, and in print and online publications.

(3) The use is free of charge for editorial reporting as well as for advertising and marketing purposes for the Retail First benefits program and fairnamic GmbH, including its affiliated companies in accordance with § 15 AktG (German Stock Corporation Act).

7. Liability 

(1) fairnamic GmbH shall not be liable for material defects and defects of title (in particular accuracy, freedom from errors, freedom from third-party property rights and copyrights, completeness, and/or usability) in connection with services and information provided free of charge as part of the Retail First benefits program. The limitation of liability does not apply in the event of injury to life, limb, or health, or in the event of intentional or grossly negligent conduct.

(2) Insofar as the member provides their own content, information, or links to external websites within the framework of the benefits program, they are solely responsible for their legality and accuracy. The member shall indemnify fairnamic GmbH and its affiliated companies within the meaning of Section 15 of the German Stock Corporation Act (AktG) internally against all claims by third parties asserted on the basis of illegal content or links provided by the member.

8. Changes to the Terms of Use 

(1) fairnamic GmbH reserves the right to change the terms of use. This applies in particular if a change is necessary due to mandatory legal regulations. These changes will be communicated to the member by email at least 4 weeks before they come into effect. If the member objects within this period, membership will end when the change comes into effect.

9. Final provision

(1) The law of the Federal Republic of Germany applies.

(2) The place of jurisdiction for all disputes arising from the membership relationship is Frankfurt am Main, insofar as this is legally permissible.

(3) Should individual provisions of these Terms of Use be or become invalid or unenforceable in whole or in part, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by the statutory provisions. The same applies to any loopholes.

(4) The German language shall be authoritative for the interpretation of the Terms of Use. If these Terms of Use are translated into a language other than German, this shall be considered a mere translation.
